16.2 This Agreement constitutes the entire agreement between the parties with respect to the subject matter of the Contract and supersedes all agreements, understandings, prior warranties, assurances, negotiations and discussions, whether oral or written, of the Parties, except as expressly provided. The Client(s) acknowledges that this Agreement serves RCIC`s best efforts, knowledge and skills in connection with the Application. The applicant acknowledges that final decisions relating to XXXXX are made exclusively by immigration officers. 16.6 The headings used in this Agreement shall be construed only for simplicity and in no way as a supplement or limitation to the agreements and understandings contained in this Agreement. 11.1 This Agreement shall be deemed terminated when the tasks referred to in Section 2 of this Agreement are completed. CONSIDERING that the Client and Canada Immigration & Citizenship Services wish to enter into a formal agreement containing the agreed terms under which the “RCIC” of Canada Immigration & Citizenship Services will provide services to the Client. However, if the RCIC or technical personnel do not perform the tasks referred to in Section 2 of this Agreement, the RCIC shall reimburse some or all of the fees received. The customer(s) agrees that the fees paid apply to the aforementioned services and that any refund is strictly limited to the amount of the fees paid. 1) After initial advice and instructions on documentation requirements and at the same time as the execution of this agreement, customers pay RCIC a holdback of $XXXX CAD. This applies to the assessment of the applicant`s qualifications, including the documentary review and preparation of the initial application, as well as to the necessary advice on the merits of the client, and is considered money earned and is not refunded or cancelled. The terms “client”, “advice”, “payment”, “designation”, “agent” and “agreement to retain” have the meanings given to these terms in the Retainer Agreement Regulation and in the Articles of Association of the Council.
